1. Introduction & Scope

These Terms of Service ("Terms") govern the use of the clearing and settlement layer provided by Twilight OS Inc. ("Twilight"). By using our services—including Twilight Shield, Twilight Clear, and Twilight Move—you agree to these Terms and all applicable Partner Addendums.

2. Services and Prototypes

Twilight provides a network for 1:1 stable value and instant clearing. Please note that functional prototypes are provided "AS IS" for the purpose of demonstrating capabilities to prospective clients.

3. Third-Party Integrations & Partner Terms

To provide a unified settlement layer, Twilight integrates with various technology, custodial, and banking partners. Your use of the Twilight platform is subject to the specific terms of these partners as set forth in Schedule A: Partner Addendums.

Twilight reserves the right to update Schedule A as new partners are onboarded. Continued use of the platform following an update to Schedule A constitutes acceptance of the new partner terms.

Addendum 1: Noah Global Terms of Service

Twilight utilizes Noah's infrastructure for core digital asset orchestration. The following terms apply in their entirety, without amendment, to all Twilight users:

Noah Global Terms of Service

1. Introduction These terms and conditions (the "Terms") apply to your use of the Noah platform, including the Noah website (noah.com), Noah mobile application, and any other services provided by Noah (collectively, the "Services"). By using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

2. Eligibility To be eligible to use the Services, you must be at least 18 years old and have the legal capacity to enter into a binding contract. If you are using the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Account Registration To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Use of the Services You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services:

• In any way that violates any applicable local, national, or international law or regulation.
• To engage in any fraudulent or deceptive activity.
• To interfere with or disrupt the integrity or performance of the Services.
• To attempt to gain unauthorized access to the Services or its related systems or networks.

5. Digital Assets The Services may allow you to buy, sell, and store digital assets. You acknowledge that digital assets are highly volatile and involve significant risk. Noah does not provide investment, tax, or legal advice. You are solely responsible for determining whether any investment or transaction is appropriate for you based on your personal objectives, financial circumstances, and risk tolerance.

6. Fees Noah may charge fees for the use of certain features of the Services. You agree to pay all applicable fees as described on the Noah website or mobile application. Noah reserves the right to change its fees at any time.

7. Intellectual Property All content and materials included in the Services, including text, graphics, logos, and software, are the property of Noah or its licensors and are protected by intellectual property laws. You may not use, reproduce, or distribute any content or materials from the Services without Noah's prior written consent.

8. Termination Noah may suspend or terminate your access to the Services at any time, with or without cause, and without notice. Upon termination, your right to use the Services will immediately cease.

9. Limitation of Liability To the maximum extent permitted by law, Noah shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use of or inability to use the Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party; or (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services.

10. Governing Law These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Noah entity providing the Services is located, without regard to its conflict of law principles.

11. Changes to These Terms Noah reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Noah website or mobile application. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
